Terms of Sale

Last updated 05 November 2026. These terms apply to business, university, government and research customers of TripleBond Scientific Inc.

1. Application of these terms

These Terms of Sale govern all quotations, order acknowledgements and sales of goods by TripleBond Scientific Inc. ("TripleBond"), a company incorporated in Canada with its laboratory at 5-67 Watson Road South, Guelph, ON, Canada N1L 1E3. By placing an order you accept these terms. Any purchase order terms submitted by the customer that conflict with these terms do not apply unless TripleBond has agreed to them in writing.

2. Customers we supply

TripleBond supplies businesses, universities, government agencies, research institutes and other professional organisations. We do not sell to consumers or to private individuals. When placing an order you confirm that you are acting on behalf of such an organisation and that the person placing the order is authorised to do so.

3. Research and analytical use only

All goods are supplied strictly for laboratory research and analytical use. They are not drugs, food additives, medical devices, cosmetics, household products or agricultural products, and must not be used for any diagnostic or therapeutic purpose in humans or animals, nor administered to humans or animals. The customer is responsible for ensuring that the goods are handled by trained personnel in a properly equipped laboratory, and for compliance with all laws applicable to their possession, handling, use and disposal.

4. Quotations, orders and acceptance

Catalogue prices and pack sizes published on this website are an invitation to order, not a binding offer. A contract is formed only when TripleBond confirms the order in writing and issues the final total. TripleBond may decline any order, including where availability, export controls, end-use or customer verification cannot be satisfied.

5. Prices, currency and taxes

Orders are transacted in a single currency throughout. Canadian customers are quoted in Canadian dollars; all other regions are quoted in United States dollars. The currency of the product price, shipping charge, applicable taxes and payment remains the same for a given order, and no currency conversion is applied by TripleBond.

Published catalogue prices exclude shipping, insurance, duties, import fees and taxes. Shipping is quoted per destination after the order is received. Canadian sales taxes (GST/HST) are added where applicable; exports are generally zero-rated. The customer is responsible for all import duties, customs charges and taxes levied in the destination country.

6. Payment terms

Payment is requested only after TripleBond has confirmed availability and the shipping charge, and has issued the final total. Accepted methods are bank wire transfer (in the currency of the order), purchase order for approved institutions, and credit card through a secure third-party payment processor. TripleBond does not receive or store customer card details.

Unless credit terms have been agreed in writing, goods are dispatched after payment has been received. Where credit terms have been granted, invoices are payable within 30 days of the invoice date unless a different period is stated on the invoice or quotation. Overdue amounts may bear interest at up to 1.5% per month, and TripleBond may suspend further shipments while an account is overdue.

The periods stated in these terms are our standard practice. TripleBond may agree different terms for a particular customer or order; where it does, the terms stated on the quotation, order confirmation or invoice for that order apply instead.

7. Delivery, title and risk

Goods are shipped from Canada by courier. Delivery dates are estimates and are not guaranteed. Title to the goods passes to the customer on receipt of payment in full. Risk of loss or damage passes on delivery to the carrier. Where the customer's own courier account is used, risk passes when the goods are collected.

8. Inspection, shortages and damage

The customer must inspect each shipment on arrival. Claims for shortage, damage in transit or incorrect supply should be notified to TripleBond in writing, quoting the order number, normally within 10 days of delivery. We will always consider a late claim on its merits, particularly where a fault could not reasonably have been found sooner.

9. Warranty

TripleBond warrants that, at the time of dispatch, the goods conform to the specification stated on the Certificate of Analysis supplied with or for that batch, when stored and handled as directed. This warranty is given to the original customer only and does not extend to goods that have been opened, transferred, diluted, repackaged, stored incorrectly or used after their stated retest or expiry date.

To the extent permitted by law, this warranty is given in place of all other warranties, conditions and representations, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

10. Limitation of liability

TripleBond's total liability arising out of or in connection with any order, whether in contract, tort (including negligence), under statute or otherwise, is limited to the purchase price paid for the goods giving rise to the claim. TripleBond is not liable for loss of profit, loss of data, loss of use, cost of substitute goods, or any indirect, incidental, special or consequential loss. Nothing in these terms excludes or limits liability that cannot be excluded or limited under Canadian law.

11. Intellectual property and confidentiality

Nothing in a sale transfers any right in TripleBond's manufacturing processes, strains, methods or know-how. Information disclosed by a customer in connection with a custom synthesis enquiry is treated as confidential and is used only to evaluate and perform that work.

12. Export control and end use

The customer is responsible for compliance with all applicable export control, sanctions, import and biosecurity requirements. TripleBond may require written end-use information before accepting an order and may cancel an order where the required information is not provided. Goods must not be re-exported in breach of any applicable law.

13. Force majeure

TripleBond is not liable for any delay or failure in performance caused by events beyond its reasonable control, including production failure, shortage of materials, carrier failure, labour disruption, regulatory action, natural events or epidemic.

14. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. The courts of Ontario have exclusive jurisdiction, and the United Nations Convention on Contracts for the International Sale of Goods does not apply.
